Any person controlling 25 percent or more of shares, voting rights, or appointment-of-directors must be disclosed.
For B2B sales targeting UK private companies, a PSC check is a 30-second sanity check that surfaces three structural signals:
Ownership concentration. A single PSC controlling 75 percent or more typically indicates founder-led decision-making or PE-owned structure. Buying-centre dynamics differ materially in each case; knowing which is which shapes early discovery.
Recent ownership changes. PSC changes within the last 12 months often signal recent acquisition, succession, or restructuring. Each signals different deal dynamics: acquired company in integration phase rarely makes new vendor commitments; recently-restructured company may have budget freezes or accelerations.
Corporate-group structure. PSCs that are themselves limited companies (rather than individuals) reveal corporate-group structure. Selling into a subsidiary of a larger group often means contracts run through group procurement; the discovery question 'how do you procure relative to your parent' becomes important.
